Introduction

Hong Kong’s re-domiciliation regime (effective 23 May 2025) permits British Virgin Islands (BVI)
companies to transfer their place of domicile to Hong Kong. This framework offers international businesses
enhanced flexibility to establish a formal presence Hong Kong while retaining their legal identity and

Continuation under Hong Kong law and discontinuance in BVI

After the company has received the certificate of re-domiciliation from the Hong Kong Companies Registry,
BVI-incorporated companies must formally deregister in the BVI. This step is essential to finalise the
re-domiciliation process or else the re-domiciliation registration in Hong Kong may be revoked.

Under the BVI Business Companies Act (Revised Edition 2020) (as amended), companies may apply for
re-domiciliation (often referred to as continuation) under Hong Kong law upon being approved by the BVI
Registrar of Corporate Affairs. The procedures required for the application include:

  • Obtaining corporate approvals by way of director/shareholder resolutions;
  • Issuing the notice of intention to continue as a company incorporated under Hong Kong law;
  • Issuing shareholder and creditor notices;
  • Obtaining security declarations with respect to outstanding charges;
  • Filing the notice of intention to continue as a company incorporated under Hong Kong law
  • Submitting the director’s declaration affirming compliance, solvency-related confirmations, and absence
    of
    legal impediments;
  • Submitting the notice of continuance under Hong Kong law;
  • Submitting the certificate of re-domiciliation issued by the Hong Kong Companies Registry ; and
  • Payment of relevant application fees.

If the application to continue as a company incorporated under Hong Kong law is approved, the BVI Registrar
of
Corporate Affairs will issue the certificate of discontinuance and the company will be struck off from the
BVI
Register of Companies.
