Annual Maintenance filings – Hong Kong

A Hong Kong limited company and its officers are required to ensure timely filing of statutory returns with the Companies Registry in strict compliance with the requirements of the Hong Kong Companies Ordinance.

If a company fails to comply with the requirements of the Hong Kong Companies Ordinance, the company, and every responsible person of the company, are liable to prosecution and, if convicted, default fines.

The major filings required to be made by a Hong Kong limited company and its major ongoing obligations after incorporation include :

  • Convene annual general meeting
  • Filing of annual return (Form NAR1)
  • Renewal of business registration certificate
  • Prepare audit accounts

Filings are also required to be made in relation to changes of the following :

  • Change of company secretary and director (Form ND2A)
  • Change of particulars of company secretary and director (Form ND2B)
